ITEM 5.02 DEPARTURE OF DIRECTORS OR CERTAIN OFFICERS; ELECTION OF DIRECTORS; APPOINTMENT OF CERTAIN OFFICERS; COMPENSATORY ARRANGEMENTS OF CERTAIN OFFICERS.

On March 17, 2020, Murali Kuppuswamy resigned from his position as Executive Vice President and Chief Human Resources Officer of Hertz Global Holdings, Inc. (“Hertz Holdings”) and its wholly-owned subsidiary, The Hertz Corporation (together with Hertz Holdings, the “Companies”) effective as of April 18, 2020. Mr. Kuppuswamy’s resignation was not a result of any disagreement with the Companies on any matter relating to their operations, policies or practices. Karla Bonzie, Vice President - Human Resources International, will act as the Chief Human Resources Officer of the Companies on an interim basis.
